Millicent Kargbo, Aminata Finda Massaquoi, and Mariama Sesay have been summoned to appear at the High Court today.
Their roles in the dispute are crucial, and they face contempt of court charges.
The case originates from a court order issued by Honourable Justice Jamesina King on July 3, 2024, under Section 185 of the Companies Act 2009, relating to the conduct of the Sierra Leone Association of Women in Journalism at their first Annual General Meeting (AGM).
A dispute over preparing and scheduling the company’s first AGM is said to be the heart of the proceedings.
A date was fixed on September 19, 2024, but without following statutory compliance on corporate governance, Kargbo and the other have been told to have a meeting to today.
They are to appear in court on Monday, September 30, 2024, without having had proper board consultations or adherence to standard corporate governance procedures.
Other board members and some of the founding family members have raised concerns about the lack of transparency and the failure to compile and distribute necessary documentation, including the appointment of an auditor and financial statements, ahead of the AGM.
These alleged procedural lapses are said to have caused significant unrest among board members.
Some have expressed dissatisfaction with the current management’s approach, raising broader questions about governance and accountability issues within the organization.
Today’s court proceedings are expected to highlight these internal tensions as the court examines the validity of the processes for holding an annual general meeting, the decisions of the other contemnors’ board resolutions, and their compliance with legal requirements under the Companies Act of 2009, as amended.
